Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the Interkey Connect platform ("Platform") for SMS services ("Services"). By using the Platform, you agree to comply with these Terms and all applicable regulations in the Kingdom of Saudi Arabia.

2. Definitions

• SMS: A text message transmitted via telecom operators.
• A2P SMS: Application-to-person messaging sent via systems or APIs.
• Platform: Interkey Connect system for sending and managing SMS.
• Customer: The entity using the Services.
• End User: The recipient of SMS messages.

3. Service Scope

Interkey provides SMS services including:

• Bulk SMS campaigns and scheduling
• SMS API (HTTPs / SMPP integration)
• Delivery reports and tracking
• Template messaging and multi-language support

Services are provided on a commercially reasonable basis, subject to operator availability and network conditions.

4. Customer Obligations

The Customer agrees to:

4.1 Compliance

• Comply with all Saudi regulations (CST) and applicable laws
• Ensure all message content is lawful and appropriate

4.2 Consent & Messaging Rules

• Obtain explicit consent before sending promotional SMS
• Provide opt-out mechanisms for End Users
• Stop sending messages within 24 hours of opt-out request
• Avoid sending messages during restricted hours (as per regulations)

4.3 Sender Identity

• Use correct sender name classification (promotional vs. transactional)
• Do not misuse sender IDs or use personal numbers for campaigns

4.4 Content Responsibility

• Customer is fully responsible for message content
• OTP messages must clearly state the purpose
• SPAM, offensive, or unauthorized content is strictly prohibited

4.5 Security

• Prevent unauthorized access to the Platform
• Notify Interkey immediately of any breach or misuse

5. Service Restrictions

The Customer shall not:

• Send unsolicited or SPAM messages
• Use automated harvesting tools or illegal data sources
• Bypass regulatory or operator restrictions
• Use the Platform for fraudulent or harmful activities

Interkey reserves the right to suspend or terminate services immediately in case of violation.

6. Fees & Billing

• Charges apply to all submitted SMS, regardless of delivery status
• Fees are non-refundable once messages are processed
• Rates may change based on operator pricing
• Interkey may suspend services in case of unpaid dues

7. Delivery & Availability

• SMS delivery depends on telecom operators and external networks
• Interkey does not guarantee delivery time or success rate
• Delivery reports are provided for transparency

8. Liability

• The Customer bears full responsibility for regulatory violations
• Any fines or penalties imposed due to Customer actions may be recovered by Interkey
• Interkey is not liable for indirect damage or service interruptions

9. Suspension & Termination

Interkey may suspend or terminate access if:

• Terms are violated
• Payment obligations are not met
• Required by law or regulatory authorities

10. Data & Compliance

• Services must be used in compliance with data protection laws (PDPL)
• Customer must ensure lawful collection and use of End User data

11. Amendments

Interkey may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
